Decision of the Board of Directors of M.A.S. Association for Human Rights

 

No. (17) of the Year 2024
Regarding the Appointment of the Chairman of the Environment and Sustainable Development Committee and the Determination of His Competencies and Authorities

The Board of Directors of M.A.S. Association for Human Rights,
Having reviewed the Association’s Statute,
And the decision establishing the Environment and Sustainable Development Committee,
And based on the powers vested in it,

HEREBY DECIDES

Article One – Appointment

Mr. Dr. Ayman Swidan
Nationality: Egyptian
Passport No.: A29617993

Is hereby appointed as Chairman of the Environment and Sustainable Development Committee of M.A.S. Association.

Article Two – General Competencies

The Chairman of the Committee shall have the following competencies:

  1. To develop strategies and executive plans for environmental protection and sustainable development projects.
     
  2. To fully supervise the preparation, implementation, and follow-up of environmental programs and initiatives inside and outside Italy, particularly in African countries and developing countries.
     
  3. To represent the Association technically and institutionally in all matters related to environmental and sustainability files.
     
  4. To manage the work of the Committee, convene its meetings, and approve its minutes and reports.
     

Article Three – Signing and Representation Authorities

Within the objectives and competencies of the Committee, the Chairman shall have the full and sole authority to sign on behalf of M.A.S. Association on:

  • Protocols and Memoranda of Understanding,
     
  • Non-profit cooperation agreements,
     
  • Environmental and sustainable development projects and programs,
     
  • Letters of intent and cooperation with states, governments, ministries, authorities, and national, regional, and international institutions,
     

without the need to refer to the Board of Directors, provided that no direct financial obligation is incurred by the Association.

Article Four – Financial Restrictions

The Chairman of the Committee shall not enter into any financial commitment, binding financial contract, open financial accounts, or impose any financial burden on the Association except after obtaining prior explicit written approval from the Board of Directors.

Article Five – Reports

The Chairman of the Committee shall submit semi-annual periodic reports to the Board of Directors on the Committee’s activities and projects.

Article Six – Term of Assignment

The term of the Chairmanship of the Committee shall be two years, renewable by a decision of the Board of Directors.

Article Seven – Entry into Force

This decision shall enter into force as of its date of issuance.

M.A.S. Human Rights Association
No. (12) of 2024

The Board of Directors of M.A.S. Human Rights Association,
Having reviewed the Statute of the Association registered in accordance with the provisions of the Italian Civil Code,
And the resolution adopted by the Extraordinary General Assembly held on 23/01/2024 regarding the approval of the establishment of specialized committees to support the Association’s activities,
And based on the articles regulating the powers of the Board of Directors,
And in view of the Association’s need to enhance institutional governance and organize technical, advisory, and executive work in a manner that achieves its humanitarian, rights-based, and developmental objectives,

RESOLVES

Article One

To approve the regulation for the establishment of specialized committees, organizing their work and governance within M.A.S. Human Rights Association. This regulation shall be considered a complementary part of the Association’s Statute and shall operate within its framework.

Article Two

Permanent and specialized committees shall be established within the Association, operating under the direct supervision of the Board of Directors, and shall not enjoy any independent legal personality. These shall include, in particular, the following:

  1. Environment and Sustainable Development Committee
     
  2. Livestock and Agricultural Development Committee
     
  3. Climate Transition and Environmental Change Committee
     
  4. Green Investment and Sustainable Economy Committee
     
  5. International Arbitration and Dispute Resolution Committee
     
  6. African Affairs and Developing Countries Committee
     
  7. Women and Children Committee
     
  8. War and Conflict Victims Committee
     
  9. Any other committees that the Board of Directors may approve in the future in accordance with the Association’s objectives
     

Article Three – General Governance of Committees

  1. Each committee shall be formed by a decision of the Board of Directors and shall consist of a Chairperson, a Rapporteur, and no fewer than three members.
     
  2. The term of membership in the committees shall be two years, renewable.
     
  3. All committees shall be subject to the supervision and follow-up of the Board of Directors and shall submit semi-annual and annual reports on their activities.
     
  4. Committees may not enter into any contracts or assume any financial or legal obligations except after obtaining prior written approval from the Board of Directors.
     

Article Four – Detailed Competencies of Committees

First: Environment and Sustainable Development Committee
Responsible for preparing and implementing environmental initiatives, protecting natural resources, combating pollution, promoting environmental awareness, preparing environmental studies, and coordinating with relevant national and international entities.

Second: Livestock and Agricultural Development Committee
Responsible for supporting and implementing sustainable livestock and agricultural development projects, improving breeding and production systems, supporting veterinary health and combating animal epidemics, managing rangelands, and enhancing food security.

Third: Climate Transition and Environmental Change Committee
Responsible for studying the effects of climate change, preparing adaptation and risk-reduction programs, supporting clean energy projects, and contributing to sustainability strategy development.

Fourth: Green Investment and Sustainable Economy Committee
Responsible for promoting green investment, supporting the circular economy, studying and financing sustainable projects, and coordinating with donors and financial institutions.

Fifth: International Arbitration and Dispute Resolution Committee
Responsible for providing advisory and arbitration opinions, supporting mediation and amicable dispute resolution of international nature related to the Association’s activities, without prejudice to the powers of the Arbitration Board stipulated in the Statute.

Sixth: African Affairs and Developing Countries Committee
Responsible for developing cooperative relations with African countries and developing countries, preparing and monitoring developmental and humanitarian programs, and building regional and international partnerships.

Seventh: Women and Children Committee
Responsible for protecting and promoting the rights of women and children, implementing empowerment programs, combating violence and discrimination, and supporting the most vulnerable groups.

Eighth: War and Conflict Victims Committee
Responsible for providing humanitarian, psychological, social, and legal support to victims of wars and armed conflicts, implementing relief and rehabilitation programs.

Article Five – Transparency and Conflict of Interest

Committee members shall adhere to principles of integrity, transparency, and disclosure of any conflict of interest, and it is prohibited to exploit their positions for personal gain.

Article Six

The Chairman of the Board of Directors is authorized to take all necessary executive and administrative measures to implement this resolution, communicate it to the relevant committees, and enforce it from the date of issuance.

Article Seven

This resolution shall enter into force as of its date of issuance, and any previous resolutions that conflict with it are hereby repealed.

Based on its legal authorities,
And in view of the importance of environmental protection and the promotion of sustainable development within the Association’s activities,

RESOLVES

Article One:
To establish a permanent committee named the Environment and Sustainable Development Committee, reporting directly to the Board of Directors and operating within the framework of the Association’s Statute and regulations.

Article Two:
The Committee shall be responsible for preparing and implementing environmental initiatives and programs, protecting natural resources, combating pollution, promoting environmental awareness, preparing environmental studies and reports, and coordinating with relevant national, regional, and international entities.

Article Three:
The Committee shall be formed by a subsequent decision of the Board of Directors and shall consist of a Chairperson, a Rapporteur, and no fewer than three members. The term of membership shall be two years, renewable.

Article Four:
The Committee may not enter into any financial, legal, or contractual obligations on behalf of the Association without prior written approval from the Board of Directors.

Article Five:
This Resolution shall enter into force as of the date of its issuance.

Regarding the Establishment of the Livestock and Agricultural Development Committee

The Board of Directors of the Association,
Having reviewed the Statute,
And in view of the importance of supporting food security and agricultural and livestock development in developing countries,

RESOLVES

Article One:
To establish a permanent committee named the Livestock and Agricultural Development Committee.

Article Two:
The Committee shall be responsible for supporting and implementing sustainable livestock and agricultural development projects, improving breeding and production systems, supporting veterinary health and combating animal epidemics, managing rangelands, and enhancing food security.

Article Three:
The Committee shall be formed and managed in accordance with the approved committee regulations and shall submit periodic reports to the Board of Directors.

Article Four:
The Committee shall not assume any financial or legal obligations without the approval of the Board of Directors.

Article Five:
This Resolution shall enter into force as of the date of its issuance.

Article Two:
The Committee shall be responsible for studying the impacts of climate change, preparing adaptation and risk-reduction programs, supporting clean energy and sustainability projects, and participating in the preparation of climate strategies.

Article Three:
The Committee shall operate under the direct supervision of the Board of Directors and in accordance with the approved regulations.

Article Four:
This Resolution shall enter into force as of the date of its issuance.

To establish a permanent committee named the Green Investment and Sustainable Economy Committee.

Article Two:
The Committee shall be responsible for encouraging green and responsible investment, supporting the circular economy, studying sustainable initiatives and projects, and coordinating with donor entities and financial institutions.

Article Three:
The Committee shall adhere to the principles of transparency and disclosure and shall avoid conflicts of interest.

Article Four:
This Resolution shall enter into force as of the date of its issuance.

Regarding the Establishment of the International Arbitration and Dispute Resolution Committee

The Board of Directors of the Association,

RESOLVES

Article One:
To establish a permanent committee named the International Arbitration and Dispute Resolution Committee.

Article Two:
The Committee shall be responsible for providing advisory and arbitration opinions and supporting mediation and amicable settlement of disputes of an international nature related to the Association’s activities, without prejudice to the competencies of the Arbitration Board stipulated in the Statute.

Article Three:
The Committee shall operate in accordance with the approved procedural rules and under the supervision of the Board of Directors.

Article Four:
This Resolution shall enter into force as of the date of its issuance.

The Committee shall submit periodic reports to the Board of Directors.
